1 - APPLICABILITY OF THE GENERAL TERMS AND CONDITIONS OF SALE OF DEVILLE RECTIFICATION

Unless otherwise stipulated by Deville Rectification, all sales contracts concluded between Deville Rectification and its customers are exclusively governed by these General Terms and Conditions of Sale. The acceptance of any offer issued by Deville Rectification implies acceptance of these General Terms and Conditions of Sale. Any other documents issued by Deville Rectification, in particular prospectuses and catalogues, are for information purposes only. Any contrary condition proposed by the Customer, in particular its own general terms and conditions of purchase shall be - unless expressly accepted by Deville Rectification - unenforceable towards Deville Rectification, regardless of when they are communicated to Deville Rectification.

2 - ORDERS

Orders are only valid and the sales contract is only deemed final when expressly accepted by Deville Rectification in the form of an acknowledgement of receipt. Deville Rectification is only bound by the undertakings made by its representatives, agents, dealers or employees subject to written confirmation. Orders may not be cancelled.

3 - DELIVERIES - DEADLINES

The delivery periods are provided for information purposes only and are not binding. Delays in delivery may not in any event give rise to penalties, damages or the cancellation of an order and Deville Rectification may not be held liable for any problems which have not been notified to it by the Customer.

4 - DELIVERIES - MODALITIES

Deville Rectification reserves the right to choose the method of shipment, in the absence of any clear indication on the order form.

5 - DELIVERY - TRANSPORT

Goods always travel at the Customer's risk, regardless of the method of transport and the special terms of payment of the price of transport.

In the event of missing goods, damage or a delay, the recipient must express any reservations he deems useful to the responsible carrier within the time limits and in the forms required by law and inform Deville Rectification within 48 hours of receipt by registered letter with acknowledgement of receipt. Packaging is non-returnable and is considered one-way packaging. Delivery periods are provided for information purposes only and are not binding.

6 - RECEIPT

The Customer is solely responsible, upon receipt, for verifying the quantity, the dimensions and the quality of the products delivered. Deville Rectification shall not be responsible for any material defects, or any errors in the quantity, the weight, the dimensions or the quality of the products delivered until its liability is established. In this case, Deville Rectification shall only be bound to simply replace the goods affected, with the goods and products initially delivered being returned to it. In this case, the buyer may not claim any indemnity and/or damages. The buyer shall be responsible for providing proof of the defects or damage reported. The Customer shall provide Deville Rectification with every opportunity to ascertain such defects and to correct them. He may not intervene himself or request a third party to intervene for this purpose. Given the specificity of the products, in order to be valid and enforceable, all claims must be formulated in writing and sent by registered letter with acknowledgement of receipt within six days following delivery.

7 - PRICES

Unless otherwise specified, the prices are given NET, excluding duties and taxes, and include packaging. All duties and taxes are extra and shall be borne by the Customer.

8 - TERMS OF PAYMENT

Unless otherwise agreed, payment of invoices shall be made 30 Days end of month from the date of the invoice. The related draft must be accepted within 48 hours of the goods being made available. Deville Rectification reserves the right to request a payment in cash upon delivery if the financial situation of the Customer justifies such a request.

9 - LATE PAYMENT

In the event of a payment after the date on which it is due, late penalties shall be calculated from the due date until the day of actual payment, at the BCE interest rate increased by 10 basis points. These penalties shall be payable upon receipt of the notice informing the Customer. The non-payment of any amount when due or the absence of the remittal of a draft accepted within the time limit shall automatically render payable all the amounts due for any delivery whatsoever.

10 - CANCELLATION CLAUSE

In the event of the non-performance by the Customer of any one of its obligations, and eight days after sending official notice to perform by registered letter with acknowledgement of receipt which remains wholly or partially without effect during this period, the sales contract will be automatically cancelled without any formality if Deville Rectification deems fit. The goods must be returned upon the first written request, at the cost and risk of the buyer who undertakes to comply therewith, without prejudice to any damages which may be due to Deville Rectification.

The buyer shall owe a contractual and flat rate indemnity equivalent to 10 %, excluding tax, of the total price which appears on the invoice(s).

This indemnity shall automatically be off-set against any amounts due by the seller.

11 - SEVERABILITY

If, for any reason whatsoever, any one of the clauses of these general terms and conditions of sale cannot be applied all the other clauses shall remain valid and shall be binding between the parties.

12 - DISPUTE SETTLEMENT IN THE EVENT OF ANY DISPUTE WHATSOEVER, EVEN IN THE EVENT OF THE INTRODUCTION OF THIRD PARTIES OR WHEN THERE ARE SEVERAL DEFENDANTS, THE COURTS IN THE PLACE OF DEVILLE RECTIFICATION'S REGISTERED OFFICE SHALL HAVE SOLE JURISDICTION.
